Terms of Service

1. Who we are

Vigil is a decision-intelligence workspace operated by Vigil Inc. (“Vigil”, “we”, “us”). You add sources; Vigil compiles them into a cited knowledge base, watches the assumptions behind your decisions, and produces briefs and answers with citations.

These terms are an agreement between you and Vigil Inc. By creating an account or using the service, you accept them. If you use Vigil on behalf of a company, you confirm you have authority to bind that company, and “you” includes it.

2. Registration and accounts

• You must be at least 16 years old to use Vigil.
• Give us accurate account information and keep your email current — it is how we reach you about your account, billing, and changes to these terms.
• Your account is yours alone. Keep your credentials secure; you are responsible for activity under your account. If you suspect unauthorized access, tell us promptly at security@trustvigil.com.
• To work with others, use a team workspace (section 7) rather than sharing a login.

3. Using the service

Use Vigil lawfully and considerately. You agree not to:

• Break the law, infringe anyone’s rights, or use Vigil to harass or harm others.
• Watch or add sources you are not permitted to access. When you register a watch source, Vigil fetches that public URL on the schedule you set, on your behalf — you are responsible for having the right to read it.
• Probe, disrupt, or overload the service, bypass its security or plan limits, or scrape it.
• Resell, sublicense, or white-label Vigil without our written permission.
• Misrepresent Vigil’s output as professional advice (see section 8).

We may throttle abusive automated traffic and enforce the usage limits of your plan. We may change or improve features over time; if we ever discontinue Vigil entirely, we will give you at least 90 days to export your data.

4. Your content and your data

• You own your content. Your sources, notes, decisions, assumptions, wiki, and briefs are yours. You grant us only the limited license needed to store, process, and display that content in order to operate the service for you.
• Workspace export is available without a paid subscription. It includes the current pages, source metadata and extracted text, claims, conflicts, briefs, and answers described in our Privacy Policy; it is not a copy of backups, provider records, raw uploaded files, or every revision and audit record.
• Vigil does not train models on your content. Default product processing, support chat, and hosted web search use OpenAI under the applicable API terms. An active Enterprise bring-your-own endpoint covers structured workspace product calls under your provider agreement; support chat and hosted web search remain on our shared provider.
• We never sell your data. Not to advertisers, not to data brokers, not to anyone.
• Share links are public to anyone with the URL. When you create a share link for a brief, anyone who has that link can view the shared content — treat the link accordingly. We keep records of when a share link is accessed so you can see that it was used, and you can revoke a link at any time.

You are responsible for the content you add. Do not add content you have no right to use.

5. Intellectual property

The Vigil software, site, design, and brand belong to Vigil Inc. and its licensors. These terms give you a right to use the service, not a license to copy, modify, or redistribute it. If you send us feedback or suggestions, we may use them without obligation to you — your workspace content is never “feedback”.

6. Paid accounts and billing

• Vigil is sold as a monthly subscription, priced per license: one license for the account owner and one for each teammate in the owner’s workspaces. The current per-license price, your license count, and your monthly total are shown on the in-app Billing page before you pay.
• Subscriptions are billed monthly in advance through Stripe, our payment processor, and renew automatically at the end of each monthly billing period until you cancel. As teammates join or leave, your license quantity is adjusted automatically with prorated charges or credits. We never see or store your full card details.
• Subscribers can manage their subscription or cancel at any time from the billing portal. Cancellation takes effect at the end of the current billing period.
• If you subscribed on an earlier plan, your subscription continues at the terms you signed up at. Where an Enterprise engagement has its own written agreement or order form, its commercial terms (pricing, term, renewal, refunds) govern over the billing terms in this section.
• A failed payment pauses watching — it does not delete workspace content. If a payment fails or a subscription ends, watched sources stop being checked and scheduled briefs stop. Your current workspace export remains available.
• Prices may change; we will give you at least 30 days’ notice before any increase applies to you.
• Your first Stripe subscription is covered by a 14-day money-back guarantee — the details live in our Refund Policy.
• Prices exclude any taxes we are required to collect, which appear at checkout or on your invoice.

7. Team workspaces

• Team workspaces are shared workspaces. Members join through invite links; anyone who has a valid invite link can join the workspace, so share invite links as carefully as you would a key.
• The workspace owner is responsible for the team’s subscription and for keeping it in line with the team’s size.
• The workspace owner is responsible for the workspace: for who is invited, for members’ use of the service complying with these terms, and for the content the team adds. Content in a shared workspace is visible to its members.

8. Not professional advice

Vigil monitors your reasoning and cites its sources. It does not provide investment, legal, medical, or tax advice, and it never recommends trades.

Vigil’s output is generated with the help of AI models and may contain errors or omissions, even when it cites sources and shows how well each statement matches your evidence. Verify anything important before acting on it. Your decisions remain your own responsibility.

9. Third-party services

• Stripe processes payments under its own terms and privacy policy.
• AI model providers process relevant excerpts of your content so Vigil can compile, watch, search the web, and answer. Default product processing, support chat, and hosted web search use OpenAI under the applicable API terms; an active Enterprise bring-your-own endpoint covers structured workspace product calls under your provider agreement, while support chat and hosted web search remain on our shared provider.
• Watched sources are third-party sites we fetch on your behalf. We are not responsible for their content, availability, or terms.

10. Termination and suspension

• You can stop using Vigil or delete your account at any time. Export your workspace first — it is free.
• We may suspend or terminate accounts that violate these terms, create legal risk, or abuse the service. Where reasonable, we will warn you first and give you a chance to fix the problem, and we will not cut off export access unless the law requires it.
• Sections that by their nature should survive termination (ownership, disclaimers, liability limits, dispute resolution) survive it.

11. Disclaimers

Vigil is provided “as is” and “as available”. We aim for high availability but do not guarantee uninterrupted or error-free service, and we make no warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent the law allows such disclaimers.

12. Limitation of liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data; and our total liability for all claims relating to the service is limited to the amount you paid us in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Dispute resolution

If something goes wrong, talk to us first: email legal@trustvigil.com and we will try in good faith to resolve the dispute within 30 days before either side starts formal proceedings.

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Delaware, and both sides consent to their jurisdiction.

14. General terms

• These terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us about the service.
• If part of these terms is found unenforceable, the rest stays in effect.
• Not enforcing a provision is not a waiver of it.
• You may not assign these terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets, with your protections intact.
• We may update these terms. For material changes we will give you at least 14 days’ notice by email or in-app notice before they take effect. Continuing to use Vigil after that means you accept the updated terms.
